These Terms & Conditions govern all business transactions, quotations, orders, and services provided by TM International Company Limited (“TM”, “we”, “our”, or “us”).
By submitting an inquiry, placing an order, or engaging in any commercial cooperation with TM, you acknowledge and agree to the following Terms & Conditions.
1. Scope of Application
These Terms & Conditions apply to all:
- Quotations
- Purchase orders
- Contracts
- Engineering services
- Equipment supply
- Tooling and component manufacturing
- Technical consultation
Unless otherwise agreed in writing, these terms shall prevail over any customer terms or conditions.
2. Quotations
- All quotations are valid for the period specified on the quotation document.
- Prices are based on technical specifications available at the time of quotation.
- Any changes in drawings, materials, specifications, or quantity may result in price revision.
- Unless otherwise stated, quotations do not include taxes, duties, customs fees, or local charges.
3. Orders and Confirmation
- Orders become effective only after written order confirmation by TM.
- Verbal agreements are not legally binding unless confirmed in writing.
- TM reserves the right to reject orders that differ from quoted specifications.
4. Payment Terms
Unless otherwise specified in writing:
- 50% advance payment upon order confirmation
- 50% balance payment prior to shipment
TM reserves the right to suspend production or delivery in the event of delayed payment.
5. Delivery Terms
- Delivery terms shall follow the Incoterms® specified in the quotation or contract.
- Delivery schedules are estimated and subject to production conditions.
- Delays caused by force majeure, supplier issues, or logistics disruption shall not constitute breach of contract.
6. Tooling Ownership
- Tooling remains the property of TM until full payment is received.
- Unless otherwise agreed, tooling is used exclusively for the customer’s project.
- Tooling maintenance and normal wear are not included unless specified.
7. Samples and Approval
- Samples are produced for evaluation purposes only.
- Final production will commence only after customer approval of samples.
- Minor dimensional variations within industry tolerance may occur during mass production.
8. Quality and Inspection
- Products are manufactured according to agreed drawings and specifications.
- Inspection standards shall follow documents confirmed during order review.
- Final inspection conducted by TM shall be deemed valid unless otherwise agreed.
9. Warranty
Unless otherwise stated in writing:
- Equipment warranty: 12 months from shipment date
- Tooling and consumables are excluded from warranty
- Warranty covers manufacturing defects only
- Improper operation, misuse, or unauthorized modification voids warranty
10. Limitation of Liability
TM shall not be liable for:
- Indirect or consequential damages
- Production loss or downtime
- Loss of profit or business interruption
Total liability shall not exceed the value of the supplied goods or services.
11. Intellectual Property
All technical drawings, designs, tooling concepts, and documents provided by TM remain TM’s intellectual property unless otherwise agreed in writing.
Unauthorized reproduction, transfer, or disclosure is prohibited.
12. Confidentiality
Both parties agree to maintain confidentiality of:
- Technical data
- Pricing information
- Drawings and specifications
- Business communications
Confidential information shall not be disclosed to third parties without written consent.
13. Force Majeure
TM shall not be liable for failure or delay caused by events beyond reasonable control, including but not limited to:
- Natural disasters
- Government regulations
- War or conflict
- Labor disputes
- Transportation disruption
14. Governing Law and Jurisdiction
These Terms & Conditions shall be governed by and construed in accordance with the laws of the Republic of China (Taiwan).
Any disputes shall be subject to the exclusive jurisdiction of the courts of Taiwan.
15. Amendments
TM reserves the right to modify these Terms & Conditions at any time.
Updated versions will apply to all future transactions.
